2. Acceptance of Terms
By visiting our website, signing a proposal, statement of work (“SOW”), purchase order, or otherwise engaging the services of Nous Technologies (“Company,” “we,” “us,” “our”), you (“Client,” “you,” “your”) accept these Terms & Conditions (“Terms”).
If you disagree, do not use our website or services.
3. Mission & Scope of Services
We democratize technology consulting in Latin America, offering:
- Web and software development
- Artificial-intelligence (“AI”) consulting, deployment, and model retraining
- Business-process automation and optimization
- Related training, hosting, support, and maintenance
Project-specific scope, timeline, and fees are set out in an SOW signed by both parties.
Service Terms
4. Eligibility
- You must be the age of majority in your jurisdiction and have authority to bind the entity you represent.
- You warrant that your use of our services complies with all applicable laws, regulations, and third-party rights.
5. Proposals, SOWs & Change Requests
- Proposals remain valid for 30 days unless stated otherwise.
- Work begins after written acceptance and any stipulated upfront payment.
- Scope, timeline, or budget changes require a mutually signed change order.
6. Client Responsibilities
- Provide accurate information, timely feedback, and system access.
- Secure all licenses, consents, and data-processing permissions we need to perform the services.
- Maintain your own backup of any content or data you supply.
7. Fees, Invoicing & Taxes
- Pricing may be time-and-materials, fixed fee, or subscription as specified in the SOW.
- Invoices are payable within 15 days unless otherwise stated. Late payments accrue 1.5% interest per month or the maximum allowed by law.
- Client is responsible for all taxes, duties, and withholding—except taxes on our net income.
Intellectual Property & Data
8. Intellectual Property (“IP”) Ownership
- Pre-existing IP: Each party retains the IP rights it held before the engagement.
- Deliverables: Upon full payment, Client obtains either:
- a. full ownership of bespoke source code, documentation, and datasets expressly labeled “Client-Owned” in the SOW, or
- b. a worldwide, perpetual, non-exclusive license to use other deliverables internally.
- Reusable Components: We may reuse generalized know-how, templates, algorithms, or frameworks developed during the project, provided they do not contain Client-Confidential Information.
- Third-Party & Open Source Licenses apply to their respective components.
9. Confidentiality
- “Confidential Information” means non-public information marked or reasonably considered confidential.
- Each party must protect the other’s Confidential Information with at least reasonable care for five years after disclosure.
- Exclusions: Information that becomes public, is independently developed, or is lawfully obtained without breach.
- If disclosure is required by law, the disclosing party will give prompt notice (unless legally barred) to allow protective measures.
10. Data Protection & Privacy
- We act as “data processor” or “service provider” for personal data under the EU GDPR, Brazil LGPD, and Costa Rica’s Law 8968. We process personal data only on documented instructions contained in the SOW or Data-Processing Addendum (“DPA”).
- Standard Contractual Clauses (SCCs) will apply where EU personal data is transferred outside the EEA.
- Client shall not transmit sensitive data (PCI, PHI, children’s data, etc.) unless the SOW and DPA expressly provide for it.
- Each party will implement appropriate technical and organizational security measures and promptly notify the other of any data breach affecting the project.
11. AI-Specific Disclaimers & Client Duties
- AI outputs are probabilistic and may contain errors or bias.
- Client must review and validate AI outputs before relying on them for decisions that influence legal rights, safety, or financial outcomes.
- Unless the SOW states otherwise, we do not warrant model accuracy rates or continuous improvement. Optional retraining and tuning services can be purchased under a separate SOW.
Service Delivery
12. Third-Party Services & APIs
- Our solutions may integrate hosting, cloud, or AI services from third-party vendors.
- Your use of such services is governed by the vendors’ terms, and we are not liable for their functionality, security, or downtime.
13. Service Levels & Support (If Purchased)
- Uptime, response, and resolution targets appear in a separate Service-Level Agreement (“SLA”).
- Scheduled maintenance will be announced at least 48 hours in advance where feasible.
14. Warranties
We warrant that:
- Services will be provided in a professional manner consistent with industry standards.
- Custom deliverables will materially conform to written specifications for 30 days after delivery.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR THE SOW, THE SERVICES AND DELIVERABLES ARE PROVIDED “AS IS” WITHOUT ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Risk & Liability
15. Insurance
We maintain the following minimum coverages with insurers rated A- or better:
- Professional / Technology Errors & Omissions: USD 1 million aggregate
- Cyber liability (including data breach costs): USD 1 million aggregate
Certificates of insurance will be provided on written request and kept current throughout the engagement.
16. Limitation of Liability
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, nor lost profits, revenue, or data, even if advised of the possibility.
- Each party’s aggregate liability arising out of the agreement is limited to the fees paid or payable to Company in the 12 months preceding the claim.
- Nothing limits liability for fraud, gross negligence, willful misconduct, or amounts that cannot be limited by law.
17. Indemnification
Client will defend, indemnify, and hold Company harmless from any third-party claim arising out of (a) Client’s content or data, (b) Client’s misuse of the services, or (c) Client’s violation of law or third-party rights. Company will promptly notify Client of any claim, allow Client to control the defense and settlement (subject to Company’s written consent for any settlement affecting its rights), and reasonably cooperate at Client’s expense.
18. Term & Termination
- Term begins on SOW acceptance and continues until the services are completed or earlier terminated.
- Either party may terminate for material breach not cured within 15 days of written notice.
- Upon termination, Client will pay all fees and approved expenses incurred up to the effective termination date.
- Sections 7, 8, 9, 10, 13 – 16, 18, 20 – 27 survive termination.
Compliance & Disputes
19. Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil unrest, pandemic, labor disputes, or government actions.
20. Export & Sanctions Compliance
Client will not use, transfer, or permit access to the services in violation of Costa Rican, U.S., EU, or UN export-control and sanctions regulations and will not allow prohibited end users or uses.
21. Dispute-Resolution Escalation
- Step 1: The parties’ senior executives will meet (virtually or in person) to resolve any dispute within 30 days of written notice.
- Step 2: If unresolved, the dispute will be settled by confidential arbitration administered by the International Centre for Dispute Resolution (“ICDR”) under its International Arbitration Rules in San José, Costa Rica, in English.
- Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive relief in court to protect IP or Confidential Information pending arbitration.
22. Governing Law
These Terms are governed by, and construed in accordance with, the laws of the Republic of Costa Rica, without regard to conflict-of-laws principles.
23. Modifications to Terms
We may update these Terms by posting a revised version on our website. Material changes take effect 30 days after posting or on Client’s next SOW—whichever occurs first. Continued use after that date constitutes acceptance.
General Provisions
24. Notices
Notices must be in writing and sent to the addresses in the SOW by (a) courier, (b) certified mail with return receipt, or (c) email with delivery confirmation. Notice is effective on receipt.
25. Entire Agreement
These Terms, each SOW, the SLA, the DPA, and any attached schedules constitute the entire agreement, superseding all prior oral or written communications.
26. Severability
If any provision is unenforceable, the remaining provisions will remain in force, and the invalid provision will be replaced by one that most closely reflects the parties’ original intent and is enforceable.
27. Waiver
Failure to enforce any right is not a waiver of future enforcement. A waiver is effective only if in a signed writing.
28. Assignment
Neither party may assign its rights or obligations without the other party’s prior written consent, except to an affiliate or successor in a merger, stock sale, or asset sale involving substantially all of the assigning party’s business, provided the assignee agrees in writing to be bound by these Terms.

2. Aceptación

3. Misión y Alcance
Ofrecemos desarrollo web, consultoría de IA y automatización de procesos en Latinoamérica, conforme al alcance definido en cada “SOW”.
4. Elegibilidad
- Ser mayor de edad y tener facultad de obligar a la entidad que representa.
- Cumplir con las leyes aplicables.
5. Propuestas y Cambios
- Vigencia de 30 días.
- Inicio tras la aceptación escrita y pago inicial requerido.
- Cambios mediante orden de cambio firmada.
6. Responsabilidades del Cliente
- Suministrar información y acceso oportunamente.
- Obtener licencias y consentimientos necesarios.
- Mantener respaldo propio de datos.
Términos de Servicio
7. Honorarios e Impuestos
- Modalidad según el SOW.
- Pago a 15 días; morosidad 1,5% mensual.
- Impuestos a cargo del Cliente, salvo los de renta de la Compañía.
8. Propiedad Intelectual
- IP preexistente permanece con su titular.
- Propiedad o licencia sobre entregables según se especifique en el SOW.
- Componentes de terceros sujetos a sus licencias.
9. Confidencialidad
Protección durante cinco años; excepciones estándar.
10. Protección de Datos
Cumplimiento con GDPR, LGPD y Ley 8968; procesamiento conforme a DPA.
Propiedad Intelectual y Datos
11. IA y Responsabilidad del Cliente
El Cliente debe validar las salidas de IA antes de decisiones críticas.
12. Servicios de Terceros
Rigen los términos de cada proveedor.
13. Niveles de Servicio
Definidos en SLA separado.
Entrega de Servicios
14. Garantías
Prestación profesional y conformidad de 30 días; demás garantías excluidas.
15. Seguros
Coberturas mínimas de USD 1 millón para E&O y ciber-riesgos.
16. Limitación de Responsabilidad
Exclusión de daños indirectos; tope igual a lo pagado en los últimos 12 meses.
17. Indemnización
El Cliente indemnizará a la Compañía según lo establecido.
Riesgo y Responsabilidad
18. Plazo y Terminación
Cura de incumplimiento en 15 días; supervivencia de cláusulas clave.
19. Fuerza Mayor
Exoneración por causas fuera de control razonable.
20. Exportaciones
Cumplimiento de regulaciones de control de exportaciones y sanciones.
21. Resolución de Conflictos
Escalamiento a ejecutivos y luego arbitraje ICDR en San José.
22. Ley Aplicable
Leyes de la República de Costa Rica.

23-28. Disposiciones Generales
Igual que en la versión en inglés (modificaciones, notificaciones, acuerdo completo, divisibilidad, renuncia, cesión).
